We appreciate you submitting your content to Merci Magazine! Here are our terms and conditions, which you agree to by submitting content.
Merci Magazine's submission terms and conditions
1.1 Merci Media Corporation accepts submitted content related to architecture, interiors, design, and lifestyle products. If you provide us with any other content, we will include it in the content we provide to you. This may include text, images, photographs, videos, movies, plans, drawings, sketches, etc.
1.2 As soon as you submit content to us, your agreement to these terms as well as the licence to use the content (in paragraph will take effect.
1.3 By submitting content to us, you grant us a non-exclusive, worldwide, irrevocable, perpetual, transferable, sub-licensable, fully paid up and royalty-free license to use, publish, reproduce, display or otherwise exploit that content (including on our websites and any other sites on which we have publishing rights; our mobile and tablet applications; our social media pages; in any of our advertising, marketing or promotional works; in publications; to allow third parties to publish the content where they do so in association with
For content you submit to us, we charge an administration fee of CAD 200. In exchange for being featured on our websites and in publications, we may use, publish, reproduce, display, or otherwise exploit the content you provide.
The following rights are acknowledged and agreed upon by you:
You do not consent to our editing, adapting, or changing any content you submit without first obtaining your approval (e.g., correcting typographical and grammatical errors, shortening a video or movie, or cropping an image); decide not to use, publish, reproduce, display or otherwise exploit the content that you submit to us; and
c) we may remove any content at our discretion (including from our websites, mobile and tablet apps, social media pages, advertising, marketing and promotional materials, and publications).
1.6 The undersigned legally promises (warrants) that:
a) Content does not violate any third-party rights (including copyrights and trademarks) or violate the law;
b) you have the right to license all existing and future intellectual property rights in the content;
(c) if applicable, you have informed us of any credits needed for the content;
(d) the content cannot be abusive, obscene, illegal, defamatory, libellous, factually inaccurate, unlawfully threatening, unlawfully harassing, pornographic, racist, or prone to incite racial hatred;
(e) No viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware or other computer code designed to harm, adversely interfere with, intercept or expropriate any system, data or personal information contained in the content.
1.7 You agree to notify us immediately by email to enquiries@merci-magazine.com if any third party threatens to make, or makes, a claim that the content infringes their rights or makes any other claim relating to the rights granted in paragraph 1.3. You agree to provide us with all assistance that we may reasonably require with regard to any such claim that is made or threatened.
1.8 You agree to indemnify us against all liabilities, costs, claims, damages, losses and expenses arising from any breach by you of the warranties in paragraph 1.6 (including, but not limited to, any action against us alleging that the content infringes any third-party rights) and for not notifying us in writing in accordance with paragraph 1.7.
1.9 In the content that you have submitted to us, you irrevocably waive all moral rights you have or will have under the Copyright, Designs and Copyright law of Canada (and all similar rights in other jurisdictions).
1.10 As described in our privacy notice, we will collect and process information and personal data. No details or personal information is disclosed.
1.11 These terms may be amended from time to time. Please check these terms every time you wish to submit content to us (in accordance with paragraph 1.2) to ensure you understand the terms that apply at the time. These terms were most recently updated on July 01, 2022.
1.12 You agree to promptly execute and deliver (or ensure that any necessary third parties promptly execute and deliver) such documents and perform such acts as may reasonably be required in order to give full effect to these terms.
1.13 This agreement will be modified to the minimum extent necessary to ensure that it is valid, legal, and enforceable if any provision or part-provision of it is or becomes invalid, illegal, or unenforceable. A provision or part of a provision will be deemed deleted if such modification is not possible. It will not affect the validity and enforceability of the rest of these terms if any provision or part-provision is modified or deleted under this paragraph.
1.14 These terms and any disputes or claims arising out of or related to them (including non-contractual disputes or claims) will be governed by the laws of Canada or Japan.
